Regulatory updates
In April 2025 Helvetia and Baloise announced plans to merge; the deal received approval from the Swiss Competition Commission and the European Commission (under the Foreign Subsidies Regulation) in mid-2025, and shareholders of both companies approved the transaction in May 2025. The merger of the parent holding companies (Helvetia Holding AG and Baloise Holding AG into Helvetia Baloise Holding AG) was legally completed on 5 December 2025, creating the second-largest insurance group in Switzerland. In Germany, the legal structures of the two groups initially remained unchanged, but they began appearing jointly under a combined brand, with headquarters in Bad Homburg. On 15 April 2026, at its Capital Markets Day, the group unveiled a single unified brand combining the 'Helvetia' wordmark with Baloise's visual identity, to be rolled out progressively across markets from 2026; harmonisation of product ranges for brokers started in May 2026 and for exclusive distribution from July 2026. All entities remain supervised by BaFin.
