Vzajemna zdravstvena zavarovalnica d.d. is Slovenia's largest specialized voluntary health insurance company, founded on November 1, 1999 as a result of the legal separation of voluntary and compulsory health insurance. Originally operating as a mutual insurer (d.v.z.), it was mandated by the Slovenian parliament (ZSPVZZ) to convert into a joint-stock company (d.d.) following the abolition of supplementary health insurance on January 1, 2024. Its shares were listed on the Ljubljana Stock Exchange on March 4, 2026 (ticker: VZZR). It offers a wide range of voluntary health, accident, travel, dental and pet insurance products under the 'Varuh zdravja' brand.

Regulatory updates
Major regulatory transformation: On January 1, 2024, Slovenia abolished supplementary health insurance (DZZ), which formed the backbone of Vzajemna's business model and accounted for roughly 90% of its premium revenue. The Slovenian parliament enacted the ZSPVZZ statute mandating Vzajemna's conversion from a mutual society (d.v.z.) to a joint-stock company (d.d.). Vzajemna challenged this before the Constitutional Court but the government opposed suspension of the law. Shares were issued to former policyholder-members on October 1, 2025; the prospectus was approved by the Securities Market Agency (ATVP) on February 12, 2026; and trading on the Ljubljana Stock Exchange Standard Market began on March 4, 2026. The company remains subject to Solvency II and oversight by the Insurance Supervision Agency (AZN). The only identified significant shareholder is the Health Insurance Institute of Slovenia (ZZZS) with a 15.23% stake.
